Definitions - **"Licensor"** means Creator, the creator and owner of the Software. - **"Licensee"** means the individual or entity that has purchased a valid license to Creator. - **"Software"** means the Creator boilerplate codebase, including all source code, documentation, assets, configuration files, and associated materials. - **"Project"** means a web application, SaaS product, or digital service built by the Licensee using the Software as a foundation. - **"Competing Product"** means any boilerplate, starter kit, template, scaffold, or code foundation intended to be sold, licensed, or distributed to third parties for use as a starting point for their own projects. --- ## 2. License Grant Subject to the terms of this Agreement and upon receipt of full payment, Licensor grants Licensee a **non-exclusive, non-transferable, non-sublicensable, perpetual license** to use the Software solely for the purposes defined in Section 3. --- ## 3. Permitted Uses Licensee **MAY**: - Use the Software to build and deploy **unlimited personal or commercial Projects** (SaaS apps, tools, websites, internal tools, client work). - Modify, adapt, and customize the Software to suit their Projects. - Use the Software to build Projects for clients, provided the client does not receive a copy of the Software itself — only the finished, deployed Project. - Deploy Projects built with the Software on any hosting platform. --- ## 4. Restrictions — What You May NOT Do ### 4.1 No Competing Boilerplate or Template Use, adapt, modify, or derive from the Software — in whole or in part — to create, sell, license, distribute, or otherwise make available any **boilerplate, starter kit, template, scaffold, code kit, or similar foundational product** that is sold or provided to third parties for use in their own development projects. This restriction applies regardless of how substantially the Software has been modified. ### 4.2 No Resale or Redistribution Sell, resell, sublicense, rent, lease, transfer, assign, or otherwise distribute the Software or any substantially similar derivative of it to any third party as a standalone product or as part of a product bundle. ### 4.3 No Sharing or Public Distribution Share, publish, open-source, or make the Software's source code publicly available in any form — including on GitHub, GitLab, npm, or any other public or private repository accessible by parties other than the Licensee. ### 4.4 No White-labeling Rebrand or white-label the Software and sell or distribute it as your own original boilerplate or starter product. ### 4.5 No Removal of Notices Remove, alter, or obscure any copyright, trademark, or proprietary notices contained in the Software. ### 4.6 No Transfer Transfer this license or any rights under it to any other individual or entity without the prior written consent of Licensor. --- ## 5. Intellectual Property The Software and all copies thereof are proprietary to Licensor and title thereto remains in Licensor. Licensee acknowledges that no title to the intellectual property in the Software is transferred to Licensee. This Agreement grants Licensee only the limited rights expressly set forth herein and no other rights, whether by implication, estoppel, or otherwise. All rights not expressly granted are reserved by Licensor. --- ## 6. One License Per Buyer Each license is granted to a single individual. If you are purchasing on behalf of a team or organization, each developer actively working with the Software's source code requires their own license, unless a Team License has been explicitly purchased. --- ## 7. GDPR & Data Protection (European Union) Licensor processes personal data in accordance with the **General Data Protection Regulation (EU) 2016/679 (GDPR)**. By purchasing a license, Licensee consents to the collection and processing of their personal data (name, email, payment information) solely for the purposes of license fulfillment, product delivery, and support. Licensee may request access to, rectification of, or erasure of their personal data at any time by contacting hello@getcreator.dev. Licensor will not sell or share Licensee's personal data with third parties except as required to fulfill the license (e.g. payment processors). --- ## 8. Termination This Agreement is effective until terminated. Licensor may terminate this Agreement immediately and without notice if Licensee breaches any provision of this Agreement. Upon termination: - Licensee must cease all use of the Software. - Licensee must destroy all copies of the Software in their possession. - Any Projects already deployed and in production prior to termination may continue to operate, but no new Projects may be initiated using the Software. --- ## 9. No Warranty THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED. --- ## 10. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. --- ## 11. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the **European Union** and the member state in which the Licensor is established, without regard to conflict of law provisions. Any disputes arising under this Agreement shall be resolved in accordance with EU consumer protection law where applicable, and subject to the jurisdiction of the competent courts of the Licensor's place of establishment. EU Licensees retain all statutory rights granted under applicable EU consumer protection legislation, which this Agreement does not seek to limit or exclude. --- ## 12. Entire Agreement This Agreement constitutes the entire agreement between the parties with respect to the Software and supersedes all prior or contemporaneous understandings, communications, or agreements, whether written or oral. --- ## 13.
